Cyprus company registration: the decisions in order

Registering a company in Cyprus is a filing with the Registrar of Companies under the Companies Law, Cap. 113, and the form most founders choose is the private company limited by shares. The steps run in a fixed order: a name is approved, the memorandum and articles are drawn up to set the company's activities, share structure and internal rules, the company is filed and receives its certificate of incorporation, and only then does it apply for a tax identification number (TIC) and declare its beneficial owners. One decision is not a step of its own but has to be made before the filing: who will serve as the company's directors and secretary.

The most common form for a Cyprus registration is the private company limited by shares. It is formed under the Companies Law, Cap. 113, in a legal system rooted in English common law, so its memorandum and articles, officers and shares follow a pattern international founders recognise. Cyprus also has a public limited company with shares, but it serves public capital markets, not a closely held business. Bearer shares are not permitted, so every share is registered to a named holder. The trade-off that matters most is staffing, and it is made in the filing itself: who runs the company, and from where, is first settled before the certificate exists.

We can proceed with the incorporation even if no one is based in Cyprus (however, the company may encounter practical issues during subsequent operations, including but not limited to unsuccessful bank account openings and ineligibility to benefit from the 12.5% low corporate tax rate).

Why the file follows the ownership chain

The file exists because of who handles it. Under EU anti-money-laundering law, a company service provider is an obliged entity, alongside notaries, accountants and tax advisors, so a formation agent works as a regulated gatekeeper and has to know who stands behind the company it forms. The company then has its own duty: to hold accurate, current information on its beneficial owners, which also sits in a central register. That is why a Cyprus registration ends with a beneficial-owner filing rather than the certificate. Where a company holds the shares, both duties pass through it to the individuals who ultimately own or control it, so the file grows with the ownership chain, not with the size of the new company.

The Cyprus list is short, and its one condition, the registered office, is a legal duty rather than a service choice. One thing about it is commonly misread: the address is a standing obligation that lasts as long as the company does, not a detail settled on filing day. It is also not all the Registrar expects before a company can exist: besides its directors, every Cyprus company must have a secretary, and both are named when the company is filed. Neither office appears on this list, but each has to be filled before registration.

The tax steps that follow the certificate

The first tax step after the certificate is registration, not payment: the company applies to the Tax Department for its tax identification code, and registers for VAT once it expects to pass the registration threshold or to carry on intra-EU trade. A VAT number that is valid in Cyprus can still fail a VIES check if it has not been activated for intra-EU transactions. One part of the brief is commonly misread: corporate tax is not settled only when the return is filed, because provisional instalments are paid during the tax year itself, on an estimate of that year's profit.

After the certificate: what the company keeps up

Cyprus company formation ends with the beneficial-owner filing, but the certificate starts duties that last as long as the company does: the registered office and the secretary have to be kept, an annual return is filed with the financial statements, and a tax calendar begins. So the first thing to do after incorporation is small: put those dates in one place the company actually uses. If the business will hold intellectual property, settle who will own it before filing. The next is the bank account, the step that turns a certificate into a working company.
